Terms & Conditions for Executive Coaching Services.

 

1.      Definitions.

  • “Coach”: Alan Newton and/or NewtonSquared Ltd, the provider of coaching services.

  • “Client”: The individual or organisation receiving the coaching services.

  • “Agreement”: This Terms & Conditions document, which governs the relationship between the Coach and the Client.

  • “Services”: Executive coaching services provided by the Coach, including but not limited to one-to-one sessions, workshops, and follow-up support.

 

2.    Scope of Services.

 

2.1.   The Coach agrees to provide the Services as outlined in the engagement agreement, proposal, or schedule shared with the Client.

2.2.  Coaching is not a substitute for professional mental health care, medical advice, or other specialist services. The Client understands that coaching is a partnership focused on achieving specific personal or professional goals.

2.3.  Trauma Policy: The Coach is not a trauma-informed practitioner and is not equipped to handle issues related to trauma or mental health crises. If such matters arise during a session:

2.3.1.     The Coach will pause the session and recommend that the Client seek support from a qualified specialist.

2.3.2.    The Client may resume coaching sessions only after the specialist deems it viable and appropriate to do so.

 

3.     Fees and Payment Terms.

 

3.1.   Fees for the Services will be as outlined in the agreement or proposal provided to the Client.

3.2.  Payment terms:

3.2.1.     Payments are due immediately when making a booking online.

3.2.2.    Alternatively, payments can be made 5-days before a coaching session and payments can be made via bank transfer.

3.3.  Late payments:

3.3.1.     For business to business (b2b) transactions, the statutory interest will be applied as per the Late Payment of Commercial Debts (Interest) Act 1998.

3.3.2.    The standard rate is 8% above the Bank of England base rate for late payments.

3.3.3.    This is an annual rate, and interest will be applied daily for all late payments.

 

4.    Cancellation and Rescheduling Policy.

4.1.   Client Cancellations.

4.1.1. If the Client needs to cancel or reschedule a session, a minimum of 24-hours' notice is required.

4.1.2.     Cancellations made with less than 24-hours' notice will result in the session being forfeited, and no refund or credit will be provided.

4.2. Refunds Policy.

4.2.1.     Refunds are not offered for cancelled sessions except in extreme and/or unusual circumstances, such as:

4.2.1.1.          Hospitalisation or emergency surgery.

4.2.1.2.         Other emergencies that make attendance impossible, at the discretion of the Coach.

4.2.2.    Any decision regarding refunds due to extreme circumstances will be made on a case-by-case basis. The Coach’s decision is final.

4.3. Coach Cancellations.

4.3.1.     In the unlikely event that the Coach needs to cancel or reschedule a session, the Client will be offered the option to reschedule at a mutually convenient time.

4.4. Pausing Services.

4.4.1.    If sessions need to be paused due to extraordinary circumstances (e.g., trauma-related issues or emergencies), the Coach will work with the Client to reschedule at a later date.

 

5.     Cancellation Policy for Session Packages.

5.1.   Non-Refundable Commitment:

5.1.1. Packages of 5 or 9 coaching sessions are sold at a discounted rate based on the Client’s commitment to the full programme. As such, the cost of these packages is non-refundable, except under the extreme circumstances outlined under clause 4.2.

5.2.  Rescheduling Unused Sessions:  

5.2.1.     If the Client wishes to cancel part of the programme:

5.2.1.1.           Notice Period: A minimum of 2-weeks’ notice is required.

5.2.1.2.          Rescheduling Option: Unused sessions may be rescheduled within 90-days of the original purchase date, subject to the Coach’s availability.

5.3.  Partial Cancellations:

5.3.1.     For packages of 5 sessions, partial cancellations are not permitted.

5.3.2.    For packages of 9 sessions, the Client may cancel up to 2 sessions. Refunds or credits will be calculated based on:

5.3.2.1.          Completed sessions charged at the standard single-session rate.

5.3.2.2.         Any remaining balance refunded, minus a £50 (UK-clients) or $75 (rest of the world clients) administrative fee.

5.4. No Refund for Unused Sessions:

5.4.1.     If the Client fails to attend scheduled sessions or does not provide sufficient notice to reschedule, these sessions will be forfeited, and no refund will be provided.

 

6.    Confidentiality.

6.1.   The Coach will maintain strict confidentiality regarding all matters discussed during coaching sessions unless:

6.1.1. Explicit permission is provided by the Client.

6.1.2.     Disclosure is required by law or if there is an immediate threat of harm to self or others.

6.2.  The Client agrees to respect the confidentiality of any proprietary methods or materials provided by the Coach.

 

7.    Data Protection.

7.1.   The Coach complies with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

7.2.  Personal data collected from the Client will only be used to provide the Services and for administrative purposes. For more details, see the Coach’s Privacy Policy.

 

8.    Liability.

8.1.   The Services are provided “as is,” and the Coach makes no guarantees regarding specific outcomes.

8.2. The Coach shall not be liable for any direct, indirect, or consequential damages arising from the use of the Services, except in cases of gross negligence or wilful misconduct.

8.3. Client Responsibility:

8.3.1.     The Client acknowledges that they are fully responsible for their decisions and actions during and after the coaching process.

8.4. Trauma Disclaimer:

8.4.1.    The Client acknowledges that the Coach is not a trauma-informed practitioner. The Coach assumes no liability for any trauma-related matters arising during or outside the coaching sessions.

 

9.    Intellectual Property.

9.1.   All materials, tools, or techniques provided by the Coach remain the intellectual property of the Coach unless otherwise agreed in writing.

9.2.  The Client may not reproduce, distribute, or use any materials provided for purposes outside the coaching engagement without prior written consent.

 

10.  Termination.

10.1.                Client-Initiated Termination:

10.1.1.    The Client may terminate this Agreement at any time by providing written notice to the Coach.

10.1.2.   For single sessions, no refunds will be issued for cancellations, as outlined in the Cancellation Policy.

10.1.3.   For session packages (e.g., 5 or 9-session programmes):

10.1.3.1.        Termination is subject to the terms outlined in the Cancellation and Refunds Policy (Section 5).

10.1.3.2.       If eligible for a partial refund (e.g., for unused sessions in a 9-session package), refunds will be calculated based on:

10.1.3.2.1.             Completed sessions charged at the standard single-session rate.

10.1.3.2.2.           Any remaining balance refunded, minus the administrative fee of [£50 or $75].

10.2.               Coach-Initiated Termination:

10.2.1.   The Coach reserves the right to terminate this Agreement at any time, including but not limited to the following circumstances:

10.2.1.1.        The Client fails to adhere to the Terms & Conditions.

10.2.1.2.       The Client engages in behaviour that is inappropriate, unethical, or violates the Coach’s professional boundaries.

10.2.1.3.       Trauma-related issues arise, and the Client has not sought or completed specialist support as recommended.

10.2.2. In such cases, the Client will be refunded for any unused sessions, calculated as follows:

10.2.2.1.       Completed sessions will be charged at the standard single-session rate.

10.2.2.2.      Any remaining balance will be refunded, minus the administrative fee of £50 or $75, if applicable.

10.3.               Mutual Termination:

10.3.1.   Either party may mutually agree to terminate the Agreement. Refunds or rescheduling options will be handled in accordance with Sections 4 and 5.

10.4.               Outstanding Balances:

10.4.1.  If any fees remain unpaid at the time of termination, the Client agrees to settle the balance within 5-days of termination.

11. Governing Law.

This Agreement shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or related to this Agreement will be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Entire Agreement.

This Agreement constitutes the entire agreement between the Coach and the Client and supersedes all prior communications, agreements, or understandings.

By engaging in the Services, the Client acknowledges that they have read, understood, and agree to these Terms & Conditions.
